Asset Reconstruction Company (India) Limited (“ARCIL” or the “Company”) has issued an addendum which records that promoter selling shareholder Avenue India Resurgence Pte. Ltd. transferred an aggregate of 3,956,834 equity shares, representing 1.21% of ARCIL’s pre-Offer paid-up equity share capital, at ₹139 per equity share on September 7, 2026. Of these, 1,798,561 shares were transferred to Whiteoak Capital India Opportunities Fund and 2,158,273 shares to Dymon Asia Multi-Strategy Investment (Singapore) Pte. Ltd., for an aggregate consideration of approximately ₹549.98 million.
The Addendum clarifies that these shares do not form part of the shares proposed to be offered for sale by Avenue India Resurgence Pte. Ltd. in the IPO and are subject to applicable lock-in requirements under Regulation 17 of the SEBI ICDR Regulations. Following the transaction, Avenue India Resurgence Pte. Ltd.’s pre-Offer shareholding in ARCIL has reduced from 69.73% to 68.52%.
ARCIL has fixed the Price Band at ₹132 to ₹139 per equity share of face value ₹10 each for its Rs 733 Crore IPO. Bids can be made for a minimum of 107 equity shares and in multiples of 107 shares thereafter. The Anchor Investor Bidding Date is Tuesday, September 8, 2026. The IPO will open for subscription on Wednesday, September 9, 2026 and close on Friday, September 11, 2026.
The Offer comprises an Offer for Sale of up to 52,731,946 equity shares, with no fresh issue component.
ARCIL is an asset reconstruction company operating across India, engaged in acquiring stressed assets from banks and financial institutions and implementing resolution strategies through restructuring, enforcement of rights over underlying securities and settlement, aimed at maximising recovery and optimising the value of stressed assets. ARCIL was the first asset reconstruction company to be incorporated in India, according to the CRISIL Report, and received its RBI certificate of registration to commence operations on August 29, 2003. The Company operates across three business verticals including Corporate Loans, SME and Other Loans, and Retail Loans. The company will be the first ARC to list in India.
