Hyderabad, India: Blue Cloud Softech Solutions Limited (“BCSSL” or “the Company”) (BSE: 539607), a BSE-listed technology conglomerate with over three decades of operations delivering digital transformation, telecom infrastructure, healthcare technology, defense solutions, and cloud services to enterprise and government clients across India and international markets, today announced that its Board of Directors has approved the acquisition of 100% of Global Impx Inc. (“GIX”), a U.S.-based energy and digital infrastructure platform, through an all-share transaction.

The acquisition marks a significant strategic step in BCSSL’s evolution into a technology- enabled infrastructure company operating at the convergence of AI, clean energy, and digital infrastructure.

The transaction is subject to execution of definitive agreements and applicable regulatory, corporate, and shareholder approvals, including a Special Resolution at an Extraordinary General Meeting scheduled for May 04, 2026. Further disclosures will be made in accordance with SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as applicable milestones are achieved.

STRATEGIC HIGHLIGHTS OF THE TRANSACTION

Entry into AI-driven infrastructure: Intended to establish BCSSL’s presence in energy- backed data centres and AI compute ecosystems

Access to strategic infrastructure assets: ~196.7 acres at Chhatrapur, Odisha with IDCO approvals, planned for phased data centre development (5 MW → 25 MW → 100 MW hyperscale capacity)

  • Cross-border platform: Combines U.S.-led technology capabilities with India-scale infrastructure execution
  • Capital efficient structure: All-share transaction with no immediate cash outflow
  • Integrated energy and data: Distributed energy systems planned to support AI- intensive data centre operations

The transaction is based on an independent valuation report dated 4th April, 2026 by Registered Valuer Mr. A.N. Gawade (IBBI Reg. No. IBBI/RV/05/2019/10746), with GIX valued at approximately ₹372.81 Crores, subject to final transaction documentation and applicable approvals.

BUILDING A NEXT-GENERATION AI AND DIGITAL INFRASTRUCTURE PLATFORM

The acquisition is intended to position BCSSL to participate in one of the fastest growing global segments — AI-led infrastructure, where compute capacity is increasingly dependent on reliable and scalable energy systems.

GIX brings a platform spanning:

  • Distributed energy infrastructure (solar, battery storage, microgrids)
  • Energy-as-a-Service (EaaS) models
  • AI-driven energy optimization and Virtual Power Plant (VPP) platforms
  • Project development and execution capabilities across large-scale infrastructure

This is intended to enable BCSSL to deliver end-to-end infrastructure solutions combining energy systems, digital platforms, and AI-driven intelligence.

STRATEGIC DATA CENTRE PLATFORM IN ODISHA

A key element of the acquisition is the Chhatrapur infrastructure platform, developed through Geo Impex & Logistics Private Limited (“GILPL”), a step-down subsidiary of GIX. Key attributes include:

  • A land parcel of approximately 196.7 acres near Gopalpur Port and NH-16, subject to final verification of title and extent
  • Government-facilitated land processes with IDCO approvals and infrastructure support
  • Phased data centre campus development: 5 MW (Phase I) → 25 MW (Phase II) → 100 MW (Phase III — Hyperscale)
  • Location within the Odisha industrial growth corridor, with proximity to emerging subsea cable connectivity infrastructure

BCSSL intends to develop energy-integrated data centres and AI compute infrastructure through this platform, subject to completion of the transaction and applicable approvals.

PLANNED AI & DATA CENTRE INFRASTRUCTURE VERTICAL

Subject to completion of the transaction, BCSSL intends to establish a dedicated AI & Data Centre Infrastructure vertical, focused on:

  • Renewable energy and distributed energy systems planned to support data centre operations
  • Battery storage and hybrid infrastructure for high-availability compute environments
  • AI-led energy optimization platforms integrated with data centre management systems
  • Phased hyperscale data centre development and operations

The platform is planned to generate revenue through:

  • Infrastructure-led revenues (EPC and project development)
  • Long-term contracted data centre and energy services
  • Recurring digital and AI-driven service revenues

GROUP STRUCTURE POST-ACQUISITION

Upon completion of the transaction, Global Impx Inc. will become a wholly owned subsidiary of BCSSL. The following entities will become step-down subsidiaries of BCSSL:
